These Terms of Service ("Terms") govern your access to and useof ColdCoach ("the App," "we," "us," or"our") provided by ColdCoach ("we," "us," or"our"). By accessing or using the App, you ("you" or"user") agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you represent and warrant that you haveread, understood, and agree to be bound by these Terms. If you do not agree tothese Terms, do not access or use the App.  

2. Use of the App

(a) Permitted Use:

You may use the Coldcoach App for personal,non-commercial purposes only. This includes utilizing the platform's featuresfor self-improvement and sales training, as well as tracking and enhancing yourteam's performance. Any other use, such as for commercial gain, redistribution,or modification of the platform’s content, is prohibited without explicitpermission from Coldcoach.

(b) Prohibited Uses:

You agree not to:

• Use the App for any illegal or unauthorized purpose.
• Violate any applicable laws or regulations.
• Impersonate any person or entity.
• Interfere with or disrupt the App's servers or networks.
• Attempt to gain unauthorized access to any part of the App.
• Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the     App.
• Use any robot, spider, scraper, or other automated means to access the App.
• Infringe on any intellectual property rights.

3. User Accounts (If applicable)

(a) Account Creation:

‍ If you create an account, you areresponsible for maintaining the confidentiality of your login credentials.

(b) Account Responsibility:‍

You are responsible for all activitiesthat occur under your account.

(c) Account Termination:‍

We may suspend or terminate your accountat our discretion, with or without notice, for any reason, including but notlimited to a breach of these Terms.

4. User Content (If applicable)

(a) Ownership:‍

You retain ownership of any content you submitthrough the App.

(b) License:‍

By submitting content, you grant us a non-exclusive,royalty-free license to use, reproduce, modify, and distribute the content inconnection with the App.

(c) Responsibility:‍

You are solely responsible for the content yousubmit.

(d) Moderation:‍

We may moderate user content and remove anycontent that violates these Terms or that we deem inappropriate.

5. In-App Purchases (If applicable)

(a) Pricing: Prices for subscription and in-app purchases aredisplayed in the App.

(b) Payment: You agree to pay for all in-app purchases using thepayment method provided.

(c) Refunds: Coldcoach offers a refund policy that is compliantwith applicable laws. If you are not satisfied with our services, you mayrequest a refund within 30 days of your purchase, provided that the product orservice has not been used beyond the initial trial period or usage terms.Refunds will be issued to the original payment method. To initiate a refund,please contact our support team at contact@coldcoach.net. Certain services,such as those that have already been accessed or used, may not be eligible fora refund.

6. Subscription Services (If applicable)

Billing Cycles:

• All plans are billed on either a monthly or annual basis. Payments are due at the start of each billing cycle, and renewal occurs automatically unless the     subscription is canceled.

Duration:

The subscription is ongoing, with the ability to cancel at any time.There is no minimum commitment period unless specified in the plan details.

Cancellation Policy:

• You may cancel your subscription at any time through your account settings or by contacting support. Cancellations will take effect at the end of the     current billing cycle. No refunds will be issued for partial months.

Plan Details:

• Silver Plan     ($249.99/M): Includes pre-sales coaching for 5 sales reps, 3 free integrations, call recording, AI call summaries, and email follow-up.
• Gold Plan     ($499.99/M): Includes all features of the “Silver” plan, plus 25 additional coaching plans, 10 free integrations, and AI assistive prediction.
• Custom Plan: Designed for large enterprises with specific needs. Pricing and features are flexible based on the enterprise's requirements.

7. Intellectual Property

The App and its content (excluding user content) are owned by us and areprotected by copyright and other intellectual property laws.

8. Disclaimer of Warranties

The App is provided "as is" without any warranties of any kind,express or implied, including but not limited to warranties of merchantability,fitness for a particular purpose, and non-infringement. We do not warrant thatthe App will be error-free or uninterrupted.  

9. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for anyindirect, incidental, special, consequential, or punitive damages arising outof or related to your use of the App.

10. Governing Law

These Terms will be governed by and construed in accordance with the lawsof British Colombia, Canada, without regard to its conflict of law principles. 

11. Dispute Resolution

Any disputes arising from or related to your use of Coldcoach’s serviceswill be resolved through binding arbitration in accordance with the laws ofBritish Columbia, Canada. The arbitration will be conducted by the BritishColumbia International Commercial Arbitration Centre (BCICAC) or anothermutually agreed-upon provider. Both parties agree to waive the right to a trialby jury and any class action claims. In the event that arbitration is notfeasible, disputes will be resolved in the courts located in Vancouver, BritishColumbia.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, orexpenses arising out of your use of the App or your breach of these Terms. 

13. Termination

We may terminate these Terms or your access to the App at any time, withor without notice, for any reason.

14. Entire Agreement

These Terms constitute the entire agreement between you and us regardingthe App.

15. Changes to these Terms

We may update these Terms from time to time. We will post any changes onthis page. Your continued use of the App after the posting of changesconstitutes your acceptance of the revised Terms.
